Notice regarding appointment of director candidates

KADOKAWA Co., Ltd. (Headquarters: Chiyoda-ku, Tokyo; Director, Representative Executive Officer, President and CEO: Tsuyoshi Natsuno) announced at the Nomination Committee held on May 8, 2024 that the 10th Ordinary General Meeting of Shareholders scheduled to be held on June 18, 2024 will be held. We would like to inform you that we have decided on the director candidates to be discussed and reported them at the Board of Directors meeting held today, May 9th.

1. Director candidates (14 people in total, 8 of whom are outside directors)

*Of this year's director candidates, 57.1% are outside directors, 28.6% are female directors, and 21.4% are foreign directors.

*The executive roles, including the selection of the chairman of the board of directors, the chairs and members of each committee, and the representative executive officer, will be formally determined at the extraordinary board of directors meeting following the 10th regular general meeting of shareholders.

Reasons for selection as a candidate for outside director and summary of expected role
Etsuko Okajima serves as the President and Representative Director of Pronova Co., Ltd., and as a consultant, she is involved in training support for next-generation managers and human resource development. She has also served as an outside director for many companies, and has extensive experience in strengthening management systems. He has experience and a high level of insight. We ask that she be elected as an outside director in the hope that she will utilize this knowledge in her management. If she is elected, she will be involved in the selection of the Company's director candidates as a nominating committee member from an independent standpoint.
